Effiziente Gestaltung von Compliance im M&A-Prozess

Der Beitrag beleuchtet anhand von Compliance-Risikoeinflussfaktoren sowie auf Basis einer empirischen Analyse, wie ein effizientes Compliance-Management-System im M&A-Prozess ausgestaltet sein sollte, damit der Erfolg einer Transaktion durch die Sicherstellung eines regelkonformen Verhaltens im gesamten M&A-Prozess gewährleistet, aber nicht durch zu hohe Kosten der eingesetzten Compliance-Maßnahmen negativ beeinträchtigt wird.

This article examines on the basis of compliance risk factors and an empirical analysis how an efficient compliance management system in the M&A-process should look like in order to guarantee the success of a transaction by ensuring compliant behaviour in the whole M&A-process on the one hand and by avoiding too high costs of the inserted compliance measures on the other hand.
